CALGARY, Alberta, June 02, 2022 (GLOBE NEWSWIRE) — EarthRenew Inc. (CSE: ERTH) (OTCQB: VVIVF) (“EarthRenew” or the “Company“), owner of leading regenerative fertilizer producer Replenish Nutrients, is pleased to announce that it has filed a preliminary short-form prospectus with the securities regulatory authorities in all provinces of Canada (except Québec) in connection with a marketed public offering (the “Offering”) of 32,000,000 units of the Company (the “Units”) at a price of $0.25 per Unit (the “Issue Price”) for gross proceeds of $8.0 million.
Each Unit will be comprised of one common share of the Company (a “Unit Share”) and one common share purchase warrant (a “Unit Warrant”). Each Unit Warrant will be exercisable to acquire one common share of the Company at a price of $0.32 per Unit Share for a period of 48 months following the date of issuance. The Offering will be conducted on a best efforts agency basis pursuant to the terms and conditions of an agency agreement to be entered into between the Company, Eight Capital, as lead agent and sole bookrunner, and Raymond James Ltd. (together with Eight Capital, the “Agents”).
The Company will grant the Agents an option (the “Over-Allotment Option”) to sell up to an additional 15% of the Units sold under the Offering. The Over-Allotment Option may be exercised in whole or in part, to acquire Units at the Issue Price, or Unit Shares at a price of $0.198 per Unit Share or Unit Warrants at a price of $0.052 per Unit Warrant, as determined Agents upon written notice to the Company at any time up to 30 days following the closing date of the Offering.
The Company intends to use the net proceeds of the Offering for the acquisition of equipment for expansion of production facilities in Alberta and for working capital and general corporate purposes.
The Offering is expected to close on or about June 21, 2022, subject to customary closing conditions.
Closing of the Offering is subject to certain conditions including, but not limited to, the receipt of all necessary regulatory approvals. There can be no assurance as to whether or when the Offering will be completed.
